LEGAL NOTICE AND CONDITIONS OF USE OF THE WEBSITE

LEGAL INFORMATION

Pursuant to the provisions of article 10 of Law 34/2002 of 11 July, on E-commerce and Information Society Services, through electronic means and in a permanent, simple, direct and free manner, USERS are provided with the following information, on the ownership of this present website (hereinafter the "WEBSITE"):

TERMS AND CONDITIONS OF USE

Purpose and scope

These provisions (hereinafter the "TERMS AND CONDITIONS OF USE") govern access to and use of the website service that SKYWAY TECHNOLOGY makes available to Internet Users (hereinafter the "USER(S)") through its WEBSITE.

Without prejudice to the above, access to certain contents and the use of some of the services that SKYWAY TECHNOLOGY is making available to USERS through its WEBSITE may be subject to certain specific conditions (hereinafter "SPECIFIC CONDITIONS") which, as the case may be, will replace, complete and/or modify these present TERMS AND CONDITIONS OF USE and which, in the event of any discrepancy, shall take precedence over the latter. The said SPECIFIC TERMS AND CONDITIONS, when applicable, shall be available to USERS on the WEBSITE itself.

Consequently, before accessing the said contents and/or using the said services, the USER must read carefully and, where applicable, accept the SPECIFIC TERMS AND CONDITIONS governing these contents and/or services, in the version published at the time of the said access and/or use.

SKYWAY TECHNOLOGY reserves the right to make, at any time and with no need for prior notice, any change and/or up-date of the contents, the present TERMS AND CONDITIONS OF USE, and, where appropriate, the corresponding SPECIFIC TERMS AND CONDITIONS and, in general, any part of the design and configuration of the WEBSITE.

The WEBSITE shall be governed by the TERMS AND CONDITIONS of USE published in the latest up-date thereof. Those posted on the WEBSITE itself at the time of access shall be applicable.

By accessing this WEBSITE , the USER hereby expressly and unreservedly accepts and accepts the present TERMS AND CONDITIONS OF USE, establishing the rules for using the website. The said acceptance shall have the same validity and enforceability as any other contract entered into in writing and signed. Should the USER not accept these TERMS AND CONDITIONS OF USE in their entirety, then the said USER shall not be authorised to access the WEBSITE.

Financial terms and conditions for accessing and using the WEBSITE

Unless stated otherwise in the SPECIFIC TERMS AND CONDITIONS, access to the WEBSITE and its contents is free of charge, except with regard to the connection charge paid by the USER to their service provider in order to gain access through the relevant telecommunications network, which shall be for the USER's account.

Commercial transactions

Any purchase of products made by the USER through the WEBSITE shall be subject to the "GENERAL TERMS AND CONDITIONS OF SALE" posted on the WEBSITE itself at that time.

Industrial and Intellectual Property Rights

All the Industrial and Intellectual Property rights for the WEBSITE are legally reserved and access to the website or its use by the USER must not be considered in any way as the granting of any licence of use or right to any asset which is owned by, or is the property of SKYWAY TECHNOLOGY and/or any third party. This reservation of rights covers (i) the external appearance (look and feel) and actual code, design and browsing structure of the WEBSITE; as well as (ii) the contents that may be included or distributed in any format through this WEBSITE and, in particular, any catalogues, brochures or images that SKYWAY TECHNOLOGY may include on the WEBSITE.

The inclusion on the WEBSITE of references to brand names, trademarks, logotypes or other distinguishing marks, irrespective of whether or not they are registered or are the property of SKYWAY TECHNOLOGY or any third party, is subject to the prohibition of use of the same without the express consent of SKYWAY TECHNOLOGY or the legitimate owner.

Therefore, the USER may only view and use the contents and services made available through the WEBSITE for strictly personal and private use, and provided that it is not for the purpose of taking commercial or professional action with the said contents and/or services.

It is also prohibited to decompile, disassemble, apply reverse engineering, sub-licence or transmit in any way, translate or perform work derived from the computer programs required for the operation, access and use of the WEBSITE. The USER must refrain in any case from deleting, altering or manipulating any protective device or security system that may be installed on the WEBSITE.

Liability and guarantees

Those using the WEBSITE, do so at their own risk. The USER, when accessing the WEBSITE, undertakes (i) not to act in any way that may damage the image, interests or rights of SKYWAY TECHNOLOGY or those of third parties, or that may damage, render useless or overload the WEBSITE, or that may hinder, in any way, the normal use of the same, and (ii) to use it in full compliance with the Laws and commercial trade uses.

Accordingly, the USER will be answerable to SKYWAY TECHNOLOGY and/or to third parties for any damages that may be causes as a result of their failure to comply with the said obligations.

SKYWAY TECHNOLOGY adopts the relevant security measures for the correct functioning of the WEBSITE and to detect the existence of viruses and other harmful components. Notwithstanding this, the USER must be aware that the security measures of the Internet computing systems are not entirely reliable and, therefore, SKYWAY TECHNOLOGY cannot guarantee (i) the continued availability of the contents and services contained in the WEBSITE; (ii) the absence of errors in the said contents or the correction of any defect that may arise; (iii) the non-existence of viruses or other harmful components that could lead to alterations in the USER's computing systems (software and hardware) or in the electronic documents and files contained therein; or (iv) the infallibility of the security measures adopted.

Likewise, SKYWAY TECHNOLOGY reserves the right to either partially or totally discontinue the service, either temporarily or definitively, in the face of technical changes or breakdowns, providing prior notice of this, whenever possible, through its WEBSITE or through any other means established for this purpose.

LINKS

Linked sites

Through its WEBSITE, SKYWAY TECHNOLOGY provides USERS with technical link devices (such as icons, links and banners) that may take the USER to other Internet sites or portals that belong to or are managed by third parties and over which SKYWAY TECHNOLOGY does not exercise any type of control (hereinafter the "LINKED SITES").

USERS must be aware that, when using the said link devices to access the LNKED SITES from the WEBSITE, the present TERMS AND CONDITIONS OF USE will no longer be applicable.

SKYWAY TECHNOLOGY does not know or control in any way the contents and services included in the LINKED SITES, and the inclusion of an access to the same through the WEBSITE in no way implies (i) that SKYWAY TECHNOLOGY recommends or approves the contents and services hosted on the LINKED SITES; and/or (ii) that there is any kind of relationship, collaboration or dependence between SKYWAY TECHNOLOGY and the owner of the LINKED SITE.

Accordingly, SKYWAY TECHNOLOGY assumes no liability whatsoever with regard to the LINKED SITES and, therefore, it is not responsible for their functioning, for the contents and services hosted therein, or for the links contained in the said LINKED SITES.

Should the USER become actually aware of the illegality or inadequacy of the contents, services or any other activities carried out through a LINKED SITE, then they must immediately notify SKYWAY TECHNOLOGY so that, where applicable, it can take the appropriate measures.

Hyperlinks

The use of hypertext links in other Websites or pages is permitted, provided that these are directed at the WEBSITE home page or, where applicable, any other internal page (deep link) of the WEBSITE and that the corresponding pages appear in a complete window under the respective URL addresses, assuming complete liability and any risk that may be derived from the establishment of a hyperlink with the WEBSITE.

On the page or website establishing the hyperlink, it must never be declared that SKYWAY TECHNOLOGY has authorised the said hyperlink, unless SKYWAY TECHNOLOGY has expressly done so in writing.

If the third party that inserts the hyperlink on its page or website wishes to include on the said page or website the brand, business name, trade name, sign, logo or any other identifying element that is the property of SKYWAY TECHNOLOGY and/or referring to the WEBSITE, it must have the prior, express, written authorisation of SKYWAY TECHNOLOGY.

Without prejudice to the above, it is expressly prohibited to display a page of the WEBSITE in a window of another Website that is not owned by SKYWAY TECHNOLOGY, through what is known as the "framing" technique, unless SKYWAY TECHNOLOGY has given express authorisation to do so.

Likewise, It is expressly forbidden to insert any type of content published through the WEBSITE on a different page or Website using the technique named “in line linking” or similar, unless SKYWAY TECHNOLOGY has given express authorisation to do so.

The establishment of a hyperlink in accordance with the aforementioned conditions in no way implies the existence of a relationship between SKYWAY TECHNOLOGY and the owner/entity responsible for the page or website in which the said hyperlink is established, nor the acceptance or approval by SKYWAY TECHNOLOGY of the said website contents and/or services.

In any case SKYWAY TECHNOLOGY reserves the right to prohibit or disable any hyperlink to the WEBSITE at any time, especially in cases of unlawful activity and/or contents of the page or website in which it is included.

LEGISLATION AND GOVERNING LAW

The present TERMS AND CONDITIONS OF USE are subject to Spanish Law.

For the resolution of any conflict that may arise from access to the WEBSITE, its contents and/or the services that SKYWAY TECHNOLOGY makes available to the USER through the WEBSITE, provided that this is permitted by applicable legislation, the USER and SKYWAY TECHNOLOGY expressly agree to abide by the Courts and Tribunals of Vitoria-Alava, waiving any other general or special right to any other venue to which they might be entitled by virtue of domicile or otherwise.
